Just ran a simple test:

WinNT 4.0, 128MB ram, Office97, S-Plus 4.0 Release 2.

1) Saved an Excel speadsheet as a *.xls file and as a *.csv file and
closed Excel.
2) Opened S-Plus.
3) Imported the *.csv file into S-Plus.
4) While S-Plus still running, launched Excel and opened the *.csv file
-- no problem.
5) Returned to S-Plus (Excel still running). Imported the *.xls file
into S-Plus -- no problem.
6) Returned to Excel (S-Plus still running). Attempt to open *.xls file
fails as reported by others.
